Acceptance of Terms

You are granted a limited, non-exclusive, non-transferable licence to use our services solely for your internal business purposes in accordance with these Terms and your service agreement. This licence does not include the right to:

• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices or labels

Exclusion of Certain Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, regardless of the theory of liability.

Limitation of Total Liability: Our total liability for all claims shall not exceed the amount paid by you for the specific service giving rise to the claim in the twelve months preceding the claim.

Exceptions: Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless omegaprnexum AG, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of our services in violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws or regulations
• Any content or data you provide that infringes third-party rights

Governing Law

These Terms are governed by and construed in accordance with the laws of Austria, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts of Vienna, Austria.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights under applicable consumer protection laws.

Dispute Resolution

Before initiating formal legal proceedings, we encourage you to contact us to seek a resolution of any disputes. We are committed to working with our clients to resolve issues amicably and efficiently.

For business clients, we may agree to resolve disputes through mediation or arbitration as an alternative to court proceedings, subject to separate agreement on the specific procedures to be followed.

Termination

These Terms remain in effect until terminated by either party. Termination may occur under the following circumstances:

You may terminate your use of our services at any time by providing written notice in accordance with your service agreement. You remain responsible for any outstanding fees incurred prior to termination.

Termination by Us

We may terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms or engage in conduct that we reasonably believe is harmful to our business or other users.

Effect of Termination

Upon termination:

• Your right to use our services ceases immediately
• We will provide reasonable assistance in data retrieval subject to our data retention policies
• Outstanding payment obligations survive termination
• Confidentiality and intellectual property provisions remain in effect

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms that is due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Severability
